These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and CODEXMARK (SMC-PRIVATE) LIMITED ("Codexmark," "we," "us," or "our"), governing your use of the Hostanova Core hotel management platform and related services.
By accessing the platform or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Services
Hostanova Core is a hotel management platform providing features including, but not limited to:
- Room management and status tracking
- Guest check-in with CNIC scanning support
- Booking and reservation management
- Financial ledger and expense tracking
- Night audit and reconciliation
- Housekeeping management
- Inventory and supply tracking
- Staff management with role-based access
- Reports, analytics, and activity logging
Service availability may be subject to subscription plans. Additional policies that form part of these Terms:
2. Account Registration
To use Hostanova Core, you must:
- Create a workspace for your hotel property
- Provide accurate registration information
- Maintain the security of your account credentials
- Notify us promptly of any unauthorized access
You are responsible for all activity that occurs under your account and the accounts of staff members you invite to your workspace.
3. Payment Terms
- Subscription Plans: Payment terms are defined by the selected subscription plan
- Invoicing: Invoices are issued according to the billing cycle of your plan
- Payment Methods: We accept the payment methods specified during checkout
- Late Payments: Overdue payments may result in service suspension until balances are settled
- Currency: All amounts are in the currency specified at the time of purchase
4. Intellectual Property
- Platform Ownership: Codexmark retains all intellectual property rights to the Hostanova Core platform, including its code, design, and underlying technology
- Your Data: You retain ownership of all data you enter into the platform. We do not claim ownership of your hotel data, guest records, or financial information
- License: We grant you a limited, non-exclusive, non-transferable license to use the platform for the duration of your active subscription
5. Confidentiality
Both parties agree to treat all confidential information shared during the engagement with appropriate care and discretion. This includes business data, technical information, guest records, and financial terms. Confidentiality obligations survive termination of the engagement.
6. Client Responsibilities
To ensure successful use of the platform, you agree to:
- Use the platform in compliance with applicable laws and regulations
- Maintain accurate and up-to-date information in your account
- Ensure staff members are properly trained and authorized
- Not attempt to reverse engineer, copy, or redistribute the platform
- Not use the platform for any unlawful or harmful purpose
7. Warranties and Support
- Service Availability: We strive for high availability but do not guarantee uninterrupted access
- Bug Fixes: We address reported defects in platform functionality as part of normal service maintenance
- Support: Support is available through the channels specified in your subscription plan
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Codexmark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total liability for any claims arising from the service shall not exceed the total fees paid by you in the 12 months preceding the claim
- While we engineer for reliability and performance, no software is guaranteed to be free from all defects in every environment
9. Termination
- By Client: You may cancel your subscription at any time. Access continues until the end of the paid billing period
- By Codexmark: We may suspend or terminate access for violations of these Terms, non-payment, or conduct that threatens platform integrity
- Effect of Termination: Upon termination, your data may be exported within 30 days. After that period, data may be permanently deleted
10. Dispute Resolution
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached, the dispute shall be settled under the laws of Pakistan with exclusive jurisdiction in courts located in Islamabad.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
12. Amendments
We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised "Last updated" date. Continued use of the platform after any changes constitutes acceptance of the modified Terms. Material changes will be communicated directly to affected users.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
